1. Acceptance and eligibility

By accessing or using this website (the “Site”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree, you must not use the Site. These Terms apply to all visitors and users, including individuals who submit inquiries, download materials, or otherwise interact with Lupurjuzix through the Site.

You must be at least 16 years old to use the Site. If you are between 16 and the age of legal majority in your country, you may use the Site only with the involvement and consent of a parent or legal guardian. The Site and services are intended for business and professional contexts and are not directed to children.

If you are using the Site on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” and “your” refer to both you and the organization.

2. Service description

Lupurjuzix provides business activity analysis and operational review advisory services. This can include, depending on agreed scope, operational activity reviews, process structure evaluation, and reporting framework consultation. The Site provides general information about these offerings and may allow you to submit an inquiry to discuss a potential engagement.

Any description of services on the Site is informational and does not constitute a binding offer. A binding engagement, if any, will be governed by a separate written agreement (such as a statement of work, engagement letter, or master services agreement) that defines scope, deliverables, timelines, fees, and responsibilities. If there is a conflict between those documents and these Terms, the written engagement agreement will control for that engagement.

Our services are analytical and advisory. We do not provide audit opinions, certifications, legal advice, or financial projections via this Site. Any examples of outputs (maps, templates, summaries) are illustrative and not a promise that a particular format will be suitable for your organization.

3. User obligations

You agree to use the Site in a lawful manner and in accordance with these Terms. You are responsible for ensuring that any information you submit through the Site is accurate to the best of your knowledge and does not violate any legal or contractual obligations you may have.

When submitting an inquiry through our contact forms, you agree to provide only business-relevant information. Do not submit sensitive personal data (for example, government identifiers, health information, or payment card details) through the Site. If you submit personal data in an inquiry, it will be handled as described in our Privacy Policy.

If the Site or a future section of the Site provides account functionality, you agree to keep credentials confidential and to notify us promptly of any suspected unauthorized access. Unless otherwise stated, one account (if accounts exist) is intended for one person, and you must not share access credentials.

4. Intellectual property

You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit the Content without prior written permission, except where such use is permitted by mandatory law.

If you provide feedback or suggestions to Lupurjuzix (for example, about the Site or service descriptions), you grant Lupurjuzix a non-exclusive, worldwide, royalty-free license to use and incorporate that feedback without restriction, to the extent permitted by law. This does not affect any confidentiality obligations under a separate written agreement.

5. Prohibited activities

You must not use the Site in a way that interferes with its operation, compromises security, or infringes the rights of others. Prohibited activities include:

• Attempting to gain unauthorized access to the Site, servers, or associated systems.
• Scraping, harvesting, or extracting data or content from the Site using automated means without our permission.
• Reverse engineering, decompiling, or attempting to discover source code except to the extent permitted by mandatory law.
• Impersonating any person or entity, or misrepresenting your affiliation with a person or entity.
• Uploading, transmitting, or distributing malware, spyware, or other harmful code.

We may investigate suspected violations and take appropriate action, including restricting access to the Site, as described in the Termination section below.

Lupurjuzix provides analytical and advisory services related to business operations. Outcomes vary depending on organizational structure and external conditions. We do not guarantee any particular results, and we do not make promises about revenue, profit, or specific performance improvements.

7. Limitation of liability

To the maximum extent permitted by applicable law, Lupurjuzix Advisory Ltd and its directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of (or inability to use) the Site or Content.

To the maximum extent permitted by law, Lupurjuzix’s total liability for any claim arising from or related to the Site, these Terms, or any related communications will be limited to the amount you paid to Lupurjuzix in the 12 months before the event giving rise to the claim, or €100, whichever is lower. If you have not paid Lupurjuzix any amount in that period, Lupurjuzix’s total liability will be limited to €100.

Nothing in these Terms limits or excludes liability that cannot be excluded under law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be limited under applicable law.

8. Indemnification

You agree to indemnify and hold harmless Lupurjuzix Advisory Ltd and its directors, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Site; (c) your violation of any law or regulation; or (d) your infringement of any third-party right.

We will notify you of any claim subject to indemnification when reasonably practicable, and you agree to cooperate in the defense. We may participate in the defense at our own expense.

9. Third-party links

The Site may reference third-party tools or standards in a descriptive way. If we provide links to third-party websites, those links are provided for convenience only. Lupurjuzix does not control third-party websites and is not responsible for their content, policies, or practices. Your use of third-party websites is at your own risk and subject to the terms of those third parties.

10. Privacy

Our Privacy Policy explains how we collect, use, share, and retain personal data, including data submitted through inquiry forms and data collected through cookies and analytics. The Privacy Policy is incorporated into these Terms by reference.

11. Governing law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. If you access the Site from outside the United Kingdom, you are responsible for compliance with local laws to the extent they apply.

Subject to the Dispute Resolution section below, the courts of London, England will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Site.

12. Dispute resolution

Before initiating legal proceedings, you agree to contact us and allow a 30-day period for informal resolution. You can send a written notice describing the issue to the contact details in the Contact section below. We will make reasonable efforts to address and resolve disputes in good faith.

If a dispute is not resolved within 30 days of receipt of the notice (or within a longer period agreed in writing), either party may pursue legal remedies in accordance with the Governing Law section. Nothing prevents either party from seeking urgent injunctive relief where appropriate.

13. Termination

We may suspend or terminate your access to the Site at any time if we reasonably believe you have violated these Terms, engaged in prohibited activities, or used the Site in a manner that could harm Lupurjuzix or others. We may do so with or without notice depending on the circumstances, including security risks.

Upon termination, the license granted to you under these Terms will end immediately. Sections that by their nature should survive termination will survive, including (without limitation) Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, and Contact.

If you have a separate written engagement agreement with Lupurjuzix, termination of Site access does not automatically terminate that agreement unless the agreement states otherwise.

14. Modifications

We may update these Terms from time to time to reflect changes to the Site, legal requirements, or our practices. Updated Terms will be posted on this page with a revised “Last Updated” date. Unless a change is required by law to take effect sooner, changes will become effective 14 days after posting.

Your continued use of the Site after the effective date of updated Terms constitutes acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Site.
